1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and addisVOICE ("Company," "we," "our," or "us") governing your access to and use of the addisVOICE platform, including our website, dashboard, API, AI voice receptionist services, and all related features (collectively, the "Services"). By creating an account, subscribing to a plan, or otherwise using the Services, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Services. The Services are intended for business use only. By using the Services, you represent and warrant that you meet these eligibility requirements and that you are not barred from receiving services under applicable law.

3. Description of Service

addisVOICE provides an AI-powered voice receptionist platform that routes, handles, and transcribes inbound phone calls on behalf of business subscribers. The Services include AI voice agent configuration, call transcription, call analytics, knowledge base management, appointment scheduling integrations, and administrative dashboards. You acknowledge that calls are processed through AI language model engines, synthetic voice systems, and third-party telephony and VOIP infrastructure. Service availability, voice quality, and transcription accuracy are subject to the limitations of underlying AI and telephony providers.

4. TCPA & Call Recording Compliance — Your Obligation

Federal Law (One-Party Consent): Under the Electronic Communications Privacy Act (18 U.S.C. § 2511), at least one party to a call must consent to recording. As the business operator, your consent satisfies this requirement at the federal level.

All-Party Consent States: Eleven U.S. states — including California, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, Pennsylvania, and Washington — require all parties to consent to call recording. If you receive calls from residents of these states, you are solely responsible for ensuring compliant disclosure is given before recording begins.

Required Disclosure: addisVOICE preconfigures AI receptionist greetings to include a recording disclosure statement. You represent and warrant that you will maintain this disclosure in all active greeting scripts and will not remove or modify it in a manner that eliminates compliant notification to callers.

TCPA Outbound Compliance: If you use outbound calling or campaign features, you warrant that you have obtained prior express written consent from all call recipients as required by the Telephone Consumer Protection Act (47 U.S.C. § 227) and FCC regulations. addisVOICE is not responsible for TCPA violations resulting from your use of outbound calling features.

Do-Not-Call Registry: You are solely responsible for scrubbing your contact lists against the National Do Not Call Registry and any applicable state do-not-call lists before initiating outbound campaigns.

5. AI Disclosure Requirements

Several jurisdictions require that callers be informed they are interacting with an automated artificial intelligence system rather than a human. California (AB 302), Illinois, and other states impose these requirements. addisVOICE's default greeting scripts are designed to disclose AI nature to callers. You must not modify scripts in a way that misrepresents your AI receptionist as a human agent. You are solely responsible for ensuring your configuration complies with AI disclosure laws in all jurisdictions in which you operate.

6. Account Registration & Security

You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@addisvoice.com of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

7. Subscriptions, Fees & Billing

Access to the Services requires a paid subscription. By subscribing, you authorize addisVOICE to charge your payment method on a recurring monthly basis at the rate corresponding to your selected plan. All fees are stated in U.S. dollars and are non-refundable except as expressly stated herein.

  • Usage Limits: Each plan includes a defined number of calling minutes per billing cycle. Minutes do not roll over. Calls initiated after your allotment is exhausted may be paused, rejected, or subject to overage charges, depending on your plan configuration.
  • Overage Charges: If overage billing is enabled on your account, minutes consumed beyond your plan limit will be billed at the per-minute rate disclosed at checkout or in your account settings.
  • Price Changes: We may modify subscription pricing with at least 30 days' advance notice via email. Continued use of the Services after the effective date constitutes acceptance of the new pricing.
  • Payment Failures: If a payment fails, we will retry on subsequent days. Accounts with unresolved payment failures after 7 days will be suspended. Suspended accounts retain their data for 30 days before permanent deletion.
  • Taxes: You are responsible for any applicable sales, use, VAT, or other taxes associated with your subscription, unless addisVOICE is legally required to collect them.

8. Cancellation & Refund Policy

You may cancel your subscription at any time through your account dashboard or by contacting support@addisvoice.com. Cancellations take effect at the end of the current billing cycle; you will retain access to the Services through that date. We do not provide prorated refunds for partial months. Exceptions may be granted at our discretion for documented service outages lasting more than 24 consecutive hours that are directly attributable to addisVOICE infrastructure failures.

9. Acceptable Use

You agree to use the Services only for lawful business purposes. You must not use the Services to:

  • Conduct unsolicited telemarketing, robocalling, or spam calling campaigns without prior express written consent from recipients
  • Spoof caller ID or misrepresent the originating party of a call
  • Harass, threaten, defraud, or deceive callers or third parties
  • Violate any applicable telecommunications, consumer protection, or privacy law
  • Collect sensitive personal information (such as payment card numbers or Social Security numbers) via AI voice interactions without appropriate security measures and disclosures
  • Reverse engineer, copy, or create derivative works of our platform, AI models, or proprietary systems
  • Attempt to gain unauthorized access to our systems, other accounts, or third-party infrastructure
  • Resell or sublicense the Services without our express written authorization

10. Intellectual Property

The Services, including all software, AI models, voice systems, dashboard interfaces, documentation, and associated intellectual property, are and remain the exclusive property of addisVOICE and its licensors. These Terms do not grant you any ownership rights. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business operations during your subscription period. Content you provide — including business information, greeting scripts, FAQs, and knowledge base entries — remains your property. You grant addisVOICE a limited license to process and store that content solely to provide and improve the Services.

11. Third-Party Services & Integrations

The Services depend on third-party providers including Retell AI (voice processing), Stripe (payments), Resend (email), Supabase (data storage), Twilio (SMS), Google Gemini (AI/RAG), and Cal.com (scheduling). These providers have their own terms and privacy policies which govern their respective services. addisVOICE is not responsible for the availability, accuracy, or conduct of third-party providers. Disruptions or changes to third-party services may affect Service availability without notice.

12. Service Availability & SLA

We target 99% monthly uptime for core platform services but do not guarantee uninterrupted availability. Scheduled maintenance, third-party provider outages, force majeure events, and circumstances beyond our reasonable control may cause service interruptions. We will make commercially reasonable efforts to provide advance notice of scheduled downtime. No service credits or refunds are issued for unplanned outages unless they exceed the threshold described in Section 8.

13. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, processing, and storage of data as described in the Privacy Policy. You are responsible for obtaining all necessary consents from your callers for data collection, recording, and processing under applicable law.

14. HIPAA Notice

addisVOICE is not currently a HIPAA-covered entity and does not offer a Business Associate Agreement (BAA) as a standard term. If your business operates in the healthcare sector and handles Protected Health Information (PHI) in voice calls, you must not use the Services to process PHI without first executing a written BAA with addisVOICE. Contact support@addisvoice.com to inquire about HIPAA-compliant arrangements.

15. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription (see Section 8). We may suspend or terminate your account immediately and without prior notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent or abusive behavior, or that continued service poses a legal, financial, or reputational risk to addisVOICE. Upon termination, your right to access the Services ceases immediately. We will retain your data for 30 days following termination, after which it will be permanently deleted unless a longer retention period is required by law.

16. Disclaimer of Warranties

The services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of transcriptions, or uninterrupted availability. addisVOICE does not warrant that the ai voice agents will meet your requirements or that call transcriptions will be free from errors. Your use of the services is at your sole risk.

17. Limitation of Liability

To the maximum extent permitted by applicable law, addisVOICE and its officers, directors, employees, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of revenue, profits, data, business, or goodwill, arising out of or related to your use of or inability to use the services, even if addisVOICE has been advised of the possibility of such damages. In no event shall addisVOICE's total cumulative liability to you for all claims arising under or related to these terms exceed the greater of (a) the total fees paid by you to addisVOICE in the three months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

18. Indemnification

You agree to indemnify, defend, and hold harmless addisVOICE and its officers, directors, employees, affiliates, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation, including TCPA, state wiretapping statutes, AI disclosure requirements, or consumer protection laws; (c) infringement of any third-party rights by content you submit to the platform; or (d) your failure to obtain proper consents from callers for recording or data collection.

19. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in English in the Commonwealth of Virginia. Each party waives any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

20. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' advance notice of material changes via email to your registered address or via a prominent notice on our website. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.

21. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and addisVOICE regarding the Services and supersede all prior agreements.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
  • Force Majeure: addisVOICE is not liable for delays or failures in performance resulting from acts beyond our reasonable control, including telecommunications outages, third-party provider failures, natural disasters, or government actions.
